Acceptance of the Terms of Use

The following terms and conditions, together with any referenced documents (collectively, "Terms of Use"), are a legal agreement between you and your employees, agents, contractors, and any other entity on whose behalf you accept these terms (collectively, "you" and "your"), and AutoBridge Technologies Pvt. Ltd. ("AutoBridge," "we," "us," and "our"). These Terms of Use apply to the AutoBridge System Website (as defined below).

IMPORTANT: THESE TERMS OF USE FORM A BINDING CONTRACT BETWEEN YOU AND AUTOBRIDGE WHEN ACCEPTED BY YOU. YOU ACCEPT THESE TERMS OF USE BY:

1. Accessing or using the Website or AutoBridge System
2. Indicating acceptance of these Terms when presented online (such as by checking a box captioned with acceptance language, clicking an icon or button labeled "Accept," or by otherwise electronically signing these Terms of Use)
3. Exercising or attempting to exercise any rights granted to you under these Terms.

The individual accepting these Terms of Use on behalf of an organization represents that they have the authority to bind the organization and commit funds on its behalf. If you do not agree to these Terms of Use, you may not use the Website.

The term "Website" refers to AutoBridge's and its affiliates public websites, including, without limitation, any domains, subdomains, or web applications owned, operated, or controlled by AutoBridge that provide access to the AutoBridge System and related resources. The Website does not include AutoBridge's subscription-based products, applications, or services ("AutoBridge Products") regardless of the domain name used to access them.

The Website may provide several types of resources, including (but not limited to) areas for user interaction, discussion forums, training materials, user ratings and reviews, product specifications, documentation, development tools, and non-production environments for demonstration or testing purposes. The Website is further defined to include all such features and resources provided by AutoBridge.

We may revise and update these Terms of Use from time to time at our sole discretion. You are expected to review this page periodically to be aware of any changes, as they are binding on you once accepted. All material changes will apply prospectively only. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. When accepted by you, the revised Terms of Use automatically revoke any license or rights granted under the prior version.

Personal information or data collected about you by this Website is processed in accordance with our Privacy Policy.

Use of the Website

Posting

Users of the Website may be permitted to post, submit, contribute, publish, display, make available, or transmit content, materials, or hosted applications (collectively, "User Contributions" and together with contributions officially posted by AutoBridge, "Contributions") on or through the Website. Posting allows our customers, partners, developers, prospective customers, employees, and other interested parties to share information, exchange ideas, provide solutions, share technology advancements, and obtain product information.

To maintain a positive and professional community environment, we may enforce standards for appropriate content and prohibit uses contrary to the intended purpose of the Website. User Contributions are considered non‑confidential and non‑proprietary, and you hereby grant AutoBridge a perpetual, irrevocable, royalty-free, fully-paid, sublicensable, transferable, nonexclusive, worldwide license to copy, distribute, modify, create derivative works of, publicly display, publicly perform, use, sell, translate, and disclose to third parties any User Contributions that you post for any purpose. We are under no obligation to post or use any User Contributions and reserve the right to edit or remove User Contributions that violate these Terms of Use at our sole discretion.

You are solely responsible for the User Contributions that you post, including their legality, reliability, accuracy, and appropriateness. AutoBridge is not responsible for (and has no liability for) any User Contribution. You represent and warrant that you own or control all rights to your User Contributions and have the right to grant AutoBridge the license described above. You also represent and warrant that all User Contributions comply with these Terms of Use, and you agree to defend, indemnify, and hold AutoBridge and its affiliates harmless for any breach of this representation or warranty. Opinions expressed in User Contributions are those of the individual posting them and do not necessarily reflect the views of AutoBridge.

Code of Conduct

You agree to comply with the following code of conduct when using the Website:

• Be polite and courteous; treat others with respect.
• Respect your audience; do not post content that threatens, harasses, abuses, or embarrasses others.
• User Contributions may not include defamatory, obscene, abusive, offensive, harassing, violent, hateful, or otherwise objectionable material.
• Healthy discussions are encouraged; debate ideas, not personalities.
• Avoid using all caps or excessive formatting that could be perceived as rude or aggressive.
• Use clear terminology; avoid abbreviations or jargon that others may not understand.
• Correct mistakes and indicate when a previous post has been updated.

Prohibited Uses

You agree not to use the Website in any way that:

• Violates applicable laws, regulations, or export/trade control restrictions.
• Infringes on the rights of others, including privacy, publicity, intellectual property, or other legal rights.
• Introduces offensive materials such as profanity, violence, pornography, or discriminatory content.
• Attempts unauthorized access to any account, data, system, or network.
• Is false, deceptive, misleading, or fraudulent, including impersonation or misrepresentation
• Uses or transmits sensitive personal information without consent.
• Engages in unauthorized advertising, solicitation, or commercial activities.
• Interferes with the Website's function, security, or user experience, including deploying viruses, malware, or performing unauthorized testing.

Notification of Violation

If you become aware of any violation of these Terms of Use by any person, including other users or third parties, you must immediately notify AutoBridge via e-mail at info@autobridge.com.

AutoBridge Disclaimer

AutoBridge may, but is under no obligation to, monitor or moderate content posted by users. We are not responsible for the accuracy, completeness, appropriateness, or legality of any User Contributions and disclaim any and all liability relating thereto.

Non-Production Instances

AutoBridge may provide you with temporary access to a non-production instance of the AutoBridge System upon your request to the Website (each a "Non-Production Instance"). Unless explicitly subject to a separate subscription agreement or a click-accept agreement at the time of registration, access to and use of any Non-Production Instances shall be governed by these Terms of Use, including, without limitation, the intellectual property and limitation of liability provisions herein. If a click-accept agreement is made available to you at registration, or if the Non-Production Instance is expressly provided under a subscription agreement, then in the event of any conflict, that agreement shall supersede these Terms of Use to the extent of the conflict.

Subject to compliance with these Terms of Use, AutoBridge authorizes you to access and use the Non-Production Instance solely for your internal evaluation purposes of the AutoBridge System. AutoBridge may update, upgrade, add, remove features, or otherwise modify the Non-Production Instance at its sole discretion without notice. Access to AutoBridge technical support resources is not provided for Non-Production Instances.

You may not use the Non-Production Instance with production data or to provide services to others, including implementation, customization, or configuration services. You may not transfer, sublicense, distribute, or provide third parties access to any applications, integrations, or other materials you develop using the Non-Production Instance. For production use or services development, please contact AutoBridge to discuss commercial offerings.

THE NON-PRODUCTION INSTANCE IS PROVIDED "AS-IS" AND AT YOUR OWN RISK, without any warranty of any kind. You must input only non-sensitive, non-production data into the Non-Production Instance. AutoBridge has no obligation or liability regarding the Non-Production Instance, including but not limited to warranties, support, reliability, backups, performance, service levels, refunds, service credits, loss of use, or loss of data.

You shall treat your login credentials and the contents of the Non-Production Instance (except data you insert) as confidential information and must not disclose them to any third party. You agree to provide any required disclosures and obtain consents for the transfer of your data to AutoBridge in connection with your use of the Non-Production Instance. AutoBridge may collect, use, and disclose aggregate, non-identifiable data derived from your use of the Non-Production Instance for analytics, benchmarking, marketing, and other business purposes.

Store and Share

The AutoBridge Store, Publisher Portal, and Share site (collectively, "AutoBridge Systems," available at autobridgesystems.com) allow registered users, AutoBridge partners, and AutoBridge itself to review and access Apps developed by the user and partner community.

For purposes of these Terms, an "App" means a contribution posted by a user, an AutoBridge Technology Partner, or AutoBridge itself, including an application, integration, configuration, extension, update set, or other material developed for use with the AutoBridge System or other AutoBridge technology. Apps may be downloaded for use on the recipient's instance or hosted by AutoBridge and may include artifacts such as code and documentation.

You may not post Apps to the Store unless you have entered into AutoBridge's Technology Partner Program under a separate written agreement. In case of any conflict, that separate agreement will control over these Terms of Use with respect to your use of the Store.

Types of Apps

• Shared App : An App provided free of charge on Share. Shared Apps may be downloaded or hosted by AutoBridge for use with the recipient's AutoBridge System. Paid Apps are not permitted on Share.
• Conditional Shared App : A Shared App that requires users to agree to additional or different termsto access or download the App.
• Store App : An App posted to Store that may be free or for a fee and is subject to App Conditions.
• AutoBridge App : Any App posted by AutoBridge employees, agents, or contractors, which may be a Shared App, Conditional Shared & Store App

All Shared Apps, Conditional Shared Apps, and Store Apps are subject to the terms regarding Posting Apps in Section 5.

Purchases of Store Apps

• Payments and Subscription Term : You may place a non-cancellable, non-refundable order to purchase access to a Store App through the Store. Prices, including discounts, are final. Fees are invoiced at the time of order unless otherwise stated. Each Store App is purchased for a 12-month term, provided you maintain a valid subscription to the AutoBridge System required to use the App. Subscription expiration will suspend your access until reinstated. Payment obligations survive expiration or termination of rights to use the AutoBridge System. Store Apps automatically renew unless cancelled.
• Payments by Credit Card : Payment is due upon purchase. The credit card provided will be billed monthly during the subscription term and any subsequent renewals.
• Payments by Invoice : Payment is due within 30 days of the invoice date. Purchase orders may be issued but do not amend these Terms of Use.
• Late Payments : Late payments accrue interest at 1.5% per month or the legal maximum, whichever is lower. Delinquency may result in suspension of access until cured.
• Overuse : AutoBridge may review your App usage. If your usage exceeds your rights, you must disable unpermitted use or purchase additional subscriptions.
• Taxes : All prices are exclusive of applicable taxes. You are responsible for paying all applicable taxes related to your purchase or use of Store Apps.

App Rights and Restrictions

• Minimum Requirements : You must have permission to use the AutoBridge System required to run an App. Without a subscription agreement, you may not use Apps
• Conditional Apps : Access or download of Conditional Shared Apps or Store Apps is subject to App Conditions, which you must accept. These conditions cannot override the Terms of Use. You may not transfer, sublicense, distribute, or provide third-party access to Apps acquired through Store or Share.
• AutoBridge Apps : Purchased Store Apps follow the rights and obligations under your subscription agreement. Downloaded Shared Apps grant a non-exclusive, non-transferable, perpetual right to use, customize, or configure the App with AutoBridge System products you are authorized to use. App Conditions for AutoBridge Apps apply where relevant.
• Restrictions : You may not:

  1. Transfer, sublicense, distribute, or provide third-party access to any App.
  2. Use an App to create a product independent of the AutoBridge System.
  3. Use APIs other than those provided by AutoBridge to communicate with the AutoBridge System.
  4. Use an App outside the AutoBridge System environment you are authorized to access.

• Certification : Certain Apps may be marked as Certified, indicating they passed compatibility tests. Certification does not imply any warranty, legal permission, or guarantee of third-party compliance.
• Testing : You are responsible for testing any App in a non-production environment before production use. Do not rely solely on statements or reviews about Apps from other users.
• Disclaimer of Support, Liability, and Security : Using or incorporating any App (including AutoBridge Apps) constitutes modification or customization of the AutoBridge System by you. Such use is not covered under subscription agreements for support, warranties, service credits, or SLA entitlements. Contributors are not liable for any losses or damages arising from Apps.
• No Warranty : Except as provided in App Conditions, Apps are provided "AS IS" and "AS AVAILABLE", without any warranty of any kind. AutoBridge and contributors disclaim all express, implied, statutory, or other warranties, including merchantability, fitness for a particular purpose, accuracy, or uninterrupted operation.

Posting Apps

The terms of this section apply to any App that you post to the AutoBridge website, including the AutoBridge Store and Share sites, or otherwise make available to a third party.

Grant of Rights to Shared Apps

By posting a Shared App in the form of an update set, you grant each user of AutoBridge Share a non‑exclusive, non‑transferable, perpetual license (to the extent of your rights in the Shared App) to copy, use, and create derivative works solely to evaluate, customize, configure, or use the App in conjunction with AutoBridge System products that such user is otherwise authorized to use under a separate subscription agreement.

Negative Impacts and Removal

AutoBridge may remove any posted App or terminate access to an App (including a Store App) if, in AutoBridge's sole discretion:

1. The App negatively affects AutoBridge's ability to meet its service commitments.
2. The App relates to an obsolete version of the system.
3. The App interferes with AutoBridge's ability to provide its products and services according to standard support and availability terms without a timely remedy.
4. The contributor requests removal.
5. The contributor is not in compliance with these Terms of Use or any other agreement.
6. The App violates these Terms of Use.

Separate Agreement Required

You may not grant any license or rights under the intellectual property of AutoBridge or third parties included in or required to use your App. You shall not assert any patent rights against AutoBridge or any third-party user based on their authorized use of your App.

Third-Party Materials

You represent and warrant that you own or have the rights to allow access or license to any App you post to the Store.

Service Interference

AutoBridge or its designated third party may conduct a security review of your App. You agree to cooperate, and AutoBridge is not responsible for any adverse effects on your App or business. Nonpublic information obtained will be treated as confidential.

Regulatory Compliance

You agree to comply with all applicable regulatory requirements in developing, marketing, selling, and distributing your App. You must not seek approvals or take actions that could impose obligations or restrictions on AutoBridge. Clearance documentation must be provided upon request.

Indemnity

In addition to any indemnification to AutoBridge, you agree to indemnify and hold harmless other users and their affiliates from any claims, liabilities, or expenses arising from your Apps, including claims of intellectual property infringement or other third-party rights violations.

AutoBridge AI Toolkit

The AutoBridge AI Toolkit and its Documentation Console (collectively, "Toolkit," available at autobridgesystem.com) allow registered users and AutoBridge to access artificial intelligence models and related data for research and non-commercial purposes.

License to Use Toolkit

Subject to these Terms of Use, you are granted a personal, non-exclusive, non-transferable, revocable license to access and use the Toolkit for non-commercial research purposes only.

By using the Toolkit, you acknowledge and agree that:

1. You are duly authorized by AutoBridge to access the Toolkit.
2. You will not share your credentials or authentication information with any other individual or third party.
3. You must comply with these Terms of Use and refrain from all Prohibited Uses described in Section 2 (Use of the Website).

Intellectual Property

Unless otherwise agreed in writing with AutoBridge, AutoBridge owns all intellectual property created through your use of the Toolkit. You waive any right to challenge AutoBridge's ownership of such intellectual property. However, copyright for scientific publications or academic research outputs created using the Toolkit vests with the author(s) of such work.

Suspension and Termination

AutoBridge may suspend, terminate, or revoke access to the Toolkit (including credentials) if your use violates these Terms of Use. You must immediately terminate your access if it is no longer needed or if your use becomes inconsistent with these Terms.

Intellectual Property

Website

The AutoBridge Website, including all content and materials therein, is owned by AutoBridge or its licensors and is protected under Indian, United States, and international copyright, patent, trademark, trade secret, and other intellectual property laws. You may access and use the Website only for legitimate business purposes related to your role as a current or prospective customer, developer, partner, supplier, or distributor of AutoBridge. You may not copy, modify, create derivative works of, display, republish, download, store, or transmit any Website content without AutoBridge's express prior written consent, except as explicitly allowed in these Terms of Use.

AutoBridge Core Technology

All rights, title, and interest in AutoBridge Core Technology are exclusively owned by AutoBridge. Except as expressly provided in these Terms of Use, AutoBridge does not grant you any rights, whether express, implied, or by estoppel.

AutoBridge Core Technology includes :

• Non-Production Instances, Development Tools, Documentation, and AutoBridge technology and methodologies (including software tools, hardware designs, algorithms, templates, architecture, class libraries, objects, and documentation)
• Updates, upgrades, improvements, configurations, extensions, derivative works, and related documentation;
• Intellectual property worldwide related to the above.

User Technology

You retain all rights to intellectual property in electronic data uploaded by you to AutoBridge's Website (excluding AutoBridge Core Technology and Toolkit). By uploading such data, you grant AutoBridge a perpetual, irrevocable, royalty-free, sublicensable, worldwide license to copy, distribute, modify, make derivative works of, publicly display, perform, use, or disclose your data solely to provide Non-Production Instance access to you.

User Technology includes software, methodologies, templates, business processes, documentation, or other material you create for use with Non-Production Instances, excluding AutoBridge Core Technology and Toolkit.

AutoBridge Trademarks

AutoBridge, the AutoBridge logo, and other AutoBridge marks are trademarks or registered trademarks of AutoBridge or its affiliates. Other company or product names may be trademarks of their respective owners. Refer to AutoBridge Trademark and Copyright Guidelines for details.

Development Tools

Development Tools are copyrighted works of AutoBridge or third-party providers. You are granted a limited, revocable, non-transferable, non-exclusive license to reproduce and use Development Tools internally solely to evaluate AutoBridge Products. Any accompanying license terms with a specific Development Tool override these Terms of Use. Development Tools may only communicate with AutoBridge Products via the provided APIs. You may not distribute Development Tools or create independent software products outside of the AutoBridge platform.

Documentation

AutoBridge Documentation is copyrighted. You may make a reasonable number of copies for internal business use only. No right to sublicense or distribute Documentation is granted.

User Contributions

You may only reproduce User Contributions (excluding Apps) as needed to interact with the Website.

Third-Party Content

Third-party materials or free and open-source software (FOSS) may be subject to separate licensing terms. AutoBridge assumes no responsibility for such third-party products or performance.

Restrictions

You must comply with usage restrictions for AutoBridge APIs. No rights in the Website, User Contributions, or AutoBridge Core Technology are transferred. There are no implied licenses. Prohibited actions include, but are not limited to:

• Licensing, sublicensing, selling, reselling, transferring, distributing, or providing access to third parties;
• Using AutoBridge Core Technology with production data or for providing services to others;
• Disassembling, decompiling, reverse engineering, or bypassing APIs;
• Copying, modifying, or creating derivative works except as expressly permitted;
• Disrupting security or integrity of AutoBridge systems;
• Using or distributing viruses or harmful code;
• Violating laws or regulations in connection with AutoBridge technology.

If you believe a mandatory law permits an action restricted here, you must notify AutoBridge 30 days in advance at legalnotices@autobridge.ai (or the maximum allowable notice under law) and provide requested information to allow AutoBridge to assess the impact.

Separate agreements (e.g., Master Subscription, Developer, or Partner Agreements) with AutoBridge override these Terms regarding Core Technology rights.

Linking

Linking to the Website

You may link to the AutoBridge homepage, provided you do so fairly, legally, and in a way that does not damage or take advantage of AutoBridge's reputation. You must not imply any association, approval, or endorsement where none exists. Linking to any other page of the Website requires express written permission from AutoBridge. AutoBridge may withdraw linking permission at any time without notice. The Website must not be framed on another site, and links to pages other than the homepage are prohibited. Links may only originate from websites owned or controlled by you. You agree to cooperate with AutoBridge to stop any unauthorized framing or linking.

Links from the Website

The AutoBridge Website may contain links to third-party websites and resources, including advertisements. These links are provided for your convenience only. AutoBridge does not control these third-party sites and accepts no responsibility for their content, products, services, or any loss or damage resulting from your use of them. Accessing any third-party site linked from the AutoBridge Website is entirely at your own risk, subject to the terms and conditions of those sites.

Monitoring, Enforcement, and Feedback

Monitoring and Enforcement

AutoBridge reserves the right, but is not obligated, to:

• Remove or refuse to post any User Contribution (including Apps), or terminate your access to the Website, in our sole discretion, for any reason, including violations of these Terms of Use or the Privacy Policy.
• Disclose your identity to any third party claiming that your content violates their rights, including intellectual property or privacy rights.
• Take legal action, including referral to law enforcement, for illegal or unauthorized use of the Website.

AutoBridge may fully cooperate with law enforcement or court orders requesting the identity of anyone posting content. You waive and hold AutoBridge harmless from any claims arising from actions taken by AutoBridge during investigations or as a result of law enforcement actions.

AutoBridge cannot review all content before it is posted and is not liable for failure to remove objectionable content or for any action or inaction regarding communications, transmissions, or content from users or third parties.

Feedback and Suggestions

By providing feedback, suggestions, comments, or improvement requests regarding the Website or AutoBridge Products, you grant AutoBridge a perpetual, irrevocable, royalty-free, sublicensable, transferable, worldwide license to use, modify, reproduce, sell, offer for sale, import, or otherwise commercially exploit such feedback for any purpose.
